conditions("Agreement") listed below.

as you are a Member.

terminate your membership anytime for any reason, including but not limited to
breach of this agreement or any other cause.

individual use only and not for commercial purposes. You cannot use the site to
market any products or services or provide links to other websites, whether
they are competitive to
meraSathi.com
or not.
You cannot frame
meraSathi.com
in other websites or write or execute "robots", "exe's", "cgi programs"
to view our content. Any such usage will result in appropriate legal action
including and not limited to civil & criminal actions.

A registered member shall not solicit other
members to buy, sell or market products/services and will not transmit any
junk/unsolicited email to other members of

site is for individual use only and not for commercial purposes.
You cannot use the site to market any products or services or provide links to
other websites, whether they are competitive to
meraSathi.com or not.
Any such action will result in immediate termination of the membership and
legal action as outlined above.

A member shall not include in their member
profile any URL's, email addresses or personal contact information. Any such
action will result in immediate termination of the membership.

All the information displayed on
meraSathi.com is proprietary to
meraSathi.com
and you may not copy, modify, publish, transmit, distribute, perform,
display, or sell any such proprietary information.

Any content/photos that you post on
meraSathi.com that is deemed
offensive, illegal or is violating the rights of other members can be reviewed
and edited or deleted by the
meraSathi.com
team.
The team also has the right to cancel or revoke the membership without notice
in that case.

By posting content/photos on
meraSathi.com, you are issuing an
irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use,
copy, perform, display, and distribute such information to

You may not post any copyrighted material or
trademarks or any other proprietary information without the written consent of

By posting such content, you agree that you are solely responsible for such
action and release

responsible for any disputes between members of

has the right, but no obligation to monitor and resolve any such
disputes.

responsible for any problems or technical malfunction of any telephone network
or lines, computer or other online systems, servers(including other Internet
service providers), computer equipment, software, hardware of any registered
member resulting from participating or downloading materials that are sent by
other members or downloading from

is not liable to any registered user or any other third party for any
kind of indirect or direct, incidental or punitive lost profits, arising from
the use of the site.

your email address with any 3rd parties for marketing any products and services
or for sending junk emails.

has the authority to change this decision anytime.

You agree to indemnify and hold
meraSathi.com, its subsidiaries,
affliates, officers, agents, partners and employees harmless from any kind of
loss suffered by you due to the usage of any services offered by

or loss due to actions by any other registered members of the site.

By registering as a member of
meraSathi.com, you agree to receive

meraSathi.com
periodically.

By registering as a member of MeraSathi.com,
we have full authority on the service provided and can at our discretion and
work load, process customer requests for maintenance of their profiles. Any
service request invoked by a member of MeraSathi.com will be
processed at a timely manner controlled by MeraSathi.com and we are not
responsible for any delays involved due to work load, outage of the service
etc.

| Contest Terms & Conditions: |
| How to enter |
| Participant will be the person who creates a profile to join the
Merasathi.com Site. To enter, please
create your free profile on Merasathi.com, on or before December 31st,
2005. We limit one profile per person.
|
| Eligibility |
|
This Contest is open to all people who are not
married or engaged to be married or in a committed relationship at the time
they create a profile on Merasathi.com
|
|
Entrants must be 18 years of age or older if
Female and 21 years of age or older if Male at the time of becoming a member of
Merasathi.com
|
|
Registration is compulsory. The Contestant must
complete all data including the Profile and Account Information(Account
information includes a valid address, a valid phone number and a valid email
address)
|
|
Existing members or MeraSathi.com
automatically qualify for the contest. No action is required on their part to
enroll again.
|
|
For members who upload atleast one valid
photograph(approved by MeraSathi.com), the chances will be
doubled as the member will receive two(2) entries in the contest
|
|
For privacy reasons, the photos can be Protected
by the member, but count as valid entry for doubling the chances.
|
|
By entering the contest, you hereby warrant that
all information submitted by you is true, current and complete.
|
|
Merasathi.com assumes that by
using this site and entering the contest (and you warrant that) either you have
legal capacity to enter the competition and agree to the rules (i.e. that you
are of sufficient age) of Merasathi.com
|
|
Merasathi.com reserves the
right to disqualify any member if it has reasonable grounds to believe the
entrant has breached any of these terms and conditions.
|
|
In the event that any member is disqualified
from the contest, Merasathi.com in its sole discretion may
decide whether a replacement contestant should be selected. In this event, no
correspondence in this regard will be entertained
|

Members should note that unless stated
otherwise, Merasathi.com does not accept responsibility for
the return of any details sent i.e. the Bio-data papers, Photos of the Members
sent through Post.

|
The Members who have already registered their
profiles at Merasathi.com are also eligible for this contest
and Merasathi.com will rely on Rule 3 while deciding the
Contest Winner.
|
|
Merasathi.com does not
discriminate on the basis of age, gender, race, ethnicity, nationality,
religion, or any other protected status.
|
|
In registering and providing data, you represent
and warrant that: (a) the information about yourself is true, accurate,
current, and complete (apart from optional items) as may be required to give
more description about yourself. (b) You will maintain and promptly update the
Registration Data to keep it true, accurate, current and complete.
|
|
Members may edit, update, alter or obscure their
Profile at any time by abiding the Terms And Conditions of Merasathi.com
|
|
Merasathi.com may disqualify
the Members from the contest and terminate their Profiles if they attempt to
disrupt the contest or circumvent the rules, attempt to annoy or harass any
other entrant of Merasathi.com. Using the sites messaging
systems (forum posts, private messages, comments etc) to send obscene data,
chain letters, junk mail, spam, or any other form of solicitation or
promotional messages for other sites/products is grounds for disqualification.

Members who try to Modify, publish, transmit,
transfer or sell, reproduce, create derivative works from, distribute, perform,
link, display or in any way exploit any Content from any Merasathi.com
database, including, without limitation, by incorporating data from any Merasathi.com
database into any e-mail or "white pages" products or serviced, whether
browser-based, based on proprietary client-site applications, web-based, or
otherwise also become the basis of disqualification of the Member.

Members who intentionally or unintentionally
violate any applicable local, state, national or international law, any rules
of any national or other securities exchange, and any regulations having the
force of law also become the base of disqualification of the Member.
|
|
Please choose carefully the information you post
on the Merasathi.com and that you provide to other members.
Your profile may not include the following items: telephone numbers, street
addresses, last names, URLs or email addresses, and any photographs posted by
you may not contain nudity or any personal information. Any such Profiles found
can be Terminated/Rejected with or without prior notice.

Merasathi.com reserves the right, in its sole
discretion, to reject, refuse to post or remove any posting (including email)
by you, or to restrict, suspend, or terminate your access to all or any part of
the Merasathi.com services, at any time, for any or no reason,
with or without prior notice, and without liability.
|
|
| Winner Selection and Notification |
|
The Winner is selected who has completed
information including the Personal Information, Family Background, Partner
Preferences and atleast one Photograph added to their profile.
|
|
Winners are supposed to show their
Identification Proofs. Identification, which includes a photograph, will be
required (examples include drivers license/passport/student card where photo
included).
|
|
Merasathi.com Customer Support
will notify the winner individually. The Winner's name, Profile Id and Photo
will be announced on Merasathi.com Home Page shortly after the
winner is selected.
|
|
Merasathi.com will rank correct
entries. A Draw of the all the Correct Entries will decide the Winner. The
decision will be final and binding. No correspondence in this regard will be
entertained
|
|

Profiles can be created by Parents/Guardian,
Friends, Relatives or any other person related to the Member but they are not
entitled to any Gift or Prize.

Winners are responsible for any and all taxes
payable as a result of a prize being awarded or received.

|
Merasathi.com reserves the
right to cancel or amend the Contest, the Contest Notice or these Rules at any
time without prior notice.
|
|
Any changes will be posted either within the
Competition Notice or these Rules.
|
|
In the event of any dispute regarding the Rules,
Contest Notice, conduct, results and all other matters relating to a Contest,
the decision of Merasathi.com shall be final and no
correspondence or discussion shall be entered into.
|
|
By uploading your Photo, you are allowing Merasathi.com
to publish the photo on our Home Page. If we ever consider publishing your
photo in any print media or on another Web site, we will contact you first for
permission.
|
|
You acknowledge and agree that all information,
photographs, video, chat messages, Email Addresses, Contact Information or
other materials ("Content"), whether publicly posted or privately transmitted,
are the sole responsibility of the person from which such Content originated.
This means that you, and not the Merasathi.com, are entirely
responsible for all Content that you upload, post, email or otherwise transmit
via the Services.

|
The Company shall have the right to verify the
authenticity of each form and may withhold or cancel the result of winners in
case any irregularities are found.
|
|
Merasathi.com reserves the
right to cancel, discontinue, modify, extend or amend this contest or any part
at its discretion without giving any prior notice or withhold declaration of
results without assigning any reason whatsoever.
|
|
Any attempt by an individual to deliberately
damage the web site or undermine the legitimate operation of the "Contest" is a
violation of criminal and civil laws. Should such an attempt be made, Merasathi.com
reserves the right to prosecute and/or seek damages from any such individual to
the fullest extent permitted by law.

|
All taxes, insurances, transfers, spending money
and other expenses (including meals or personal expenses, upgrades etc.) as the
case may be, unless specifically stated, are the sole responsibility of the
prize winner
|
|
Prizes are not transferable, exchangeable or not
given to any others. Prizes are to be taken in person unless other wise
specified. Identification proof of the relation with the Member is expected.
|
|
Merasathi.com takes no
responsibility for late, lost or misdirected mail
|
|
The Prize is accepted entirely at the risk of
the winner, and Merasathi.com excludes all warranties in
connection with the prize to the extent permitted by law.
|
|
As a condition, Winners will be required to
execute an affidavit of eligibility and, unless prohibited by applicable law,
consent to the use of their name, home town, Photograph and/or prize
information for promotional and other purposes without further payment, except
where prohibited by law.
|
|
Users holding a Merasathi.com Profile
ID are responsible for maintaining the confidentiality of the password and ID,
and are fully responsible for all activities that occur under your password or
ID. You agree to (a) immediately notify Merasathi.com of any
unauthorized use of your password or account or any other breach of security,
and (b) ensure that you exit from your account at the end of each session. Merasathi.com
cannot and will not be liable for any loss or damage arising from your failure
to comply with this requirement.

Merasathi.com may provide, or
third parties may provide, links to other sites or resources located on the
World Wide Web by allowing a user to leave the Merasathi.com to
access third-party material or by bringing the third party material into this
site via "inverse" hyperlinks and framing technology. Merasathi.com
has no control over such sites and resources.

You acknowledge and agree that Merasathi.com
is not responsible for the availability of such external sites or resources,
and does not endorse and is not responsible or liable for any content,
advertising, products, or other materials on or available from such sites or
resources.

You further acknowledge and agree that Merasathi.com
shall not be responsible or liable, directly or indirectly, for any damage or
loss caused or alleged to be caused by or in connection with use of or reliance
on any such content, goods or services available on or through any such site or

Your correspondence or business dealings with,
or participation in promotions of, advertisers found on or through the Merasathi.com
Products and Services, including payment and delivery of related goods or
services, and any other terms, conditions, warranties or representations
associated with such dealings, are solely between you and such advertiser. You
agree that Merasathi.com shall not be responsible or liable
for any loss or damage of any sort incurred as the result of any such dealings
or as the result of the presence of such advertisers on the Product and
Services.
